1. Who we are

PowerCheckIn is operated by PowerShift Tech Inc ("we", "us", "the seller"). By creating an account or continuing to use PowerCheckIn, you agree to these Terms & Conditions and confirm you are of legal age in your jurisdiction or have authority to bind the organization you represent.

2. The service

PowerCheckIn provides personal and shared accountability tools: goal tracking, check-ins, wins, shared shelves, worksheets, trackers and mini apps, across individual, partner and group spaces. We grant you a limited, non-exclusive, non-transferable right to use the service within your selected plan. We do not guarantee uninterrupted or error-free performance, and the service is provided "as is" without implied warranties to the fullest extent permitted by law.

3. Acceptable use

You must not misuse the service. This includes, without limitation:

• unlawful use, fraud, or spam;
• infringing the intellectual-property rights of others;
• uploading malware, probing or scanning our systems, or scraping the service;
• reverse engineering, reselling, or circumventing technical or plan limits;
• harassing other members or posting hateful or deceptive content.

4. Intellectual property

We retain all ownership of the service and its intellectual property, including software, documentation, worksheets, trackers, mini apps and branding. You retain ownership of the content you add (goals, check-ins, notes). You grant us a limited license to host and process that content solely to provide the service.

5. Payments, billing and subscriptions

Paid plans (Circle and Circle Pro) are billed monthly or annually and renew automatically until cancelled. Prices are shown at checkout and are subject to change with notice. Payment, billing, tax, cancellation and refund mechanics are handled by our reseller; please also see Paddle's Buyer Terms at paddle.com/legal/checkout-buyer-terms.

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

6. Referrals and ambassadors

Paying members may receive a referral code and earn a commission on payments made by members they refer, during the period described when the code is issued, while the referrer's own subscription is active. The commission rate, qualifying period and any referral or ambassador targets are as published in the app from time to time and may change. Commissions are paid monthly by PayPal to the payout address the member provides; referral and ambassador payouts are settled by PowerShift Tech Inc directly and are not processed by Paddle. Ambassador memberships are free while published referral targets are met and may convert to paid plans otherwise. We may withhold or reverse commissions arising from refunded or charged-back payments, fraud, or self-referrals.

6a. Advertising bookings

Advertising space in PowerCheckIn is sold by PowerShift Tech Inc directly, not through Paddle. Bookings are invoiced by us and payable by bank transfer or PayPal as agreed at the time of booking. Creatives are reviewed before they go live, and we may reject creative that breaches the acceptable-use rules above.

7. Suspension and termination

We may suspend or terminate access for material breach of these terms, non-payment, security or fraud risk, or repeated or serious policy violations. You may delete your account at any time. On termination, your access ends and your data may be deleted after a reasonable retention window.

8. Liability

To the fullest extent permitted by law, we exclude liability for indirect, consequential or special damages (including loss of profits, data or goodwill), and our aggregate liability is capped at the fees you paid in the 12 months before the claim. Nothing in these terms excludes liability for fraud, death or personal injury where the law does not allow it.
